Infratil and the Super Fund are looking at buying up part of Shell's New Zealand business.
The company announced earlier this year that it would look at selling its downstream businesses, including its retail outlets, following a review of its assets.
Shell has today revealed it is in exclusive talks with a consortium of Infratil Limited and New Zealand Superannuation. But the company says that does not guarantee a sale, and it is too early to confirm a deal.
Shell is not giving any detail on the bids and terms, saying the discussions are confidential and commercially sensitive.
It hopes to finalise the talks within the next month.
